Founding Member Terms

§ 1 Subject Matter

(1) The member participates in the Founding Member Program of AfterCost – Firat Günenc (hereinafter "Provider"). The member receives access to AfterCost under the special terms set out in § 3.

(2) The General Terms of Service (aftercost.de/agb) and the Privacy Policy (aftercost.de/datenschutz) apply in their current version in addition to these terms.

(3) The program is limited to a maximum of 5 spots.

§ 2 Duration and Minimum Term

(1) The special terms apply from account creation for a minimum term of 24 months.

(2) After expiration of the minimum term, the Provider may terminate the special terms with 90 days' notice effective at the end of a calendar month. The member will be transferred to the then-current standard plan.

(3) During the minimum term, unilateral termination of the special terms by the Provider is excluded.

(4) The member's ordinary right of termination under the General Terms remains unaffected.

§ 3 Price Guarantee and Adjustment

(1) During the minimum term, the monthly price is EUR 19.00 net ("Founding Price").

(2) After expiration of the minimum term, the Provider may adjust the price with 90 days' notice effective at the end of a calendar month to the then-current standard plan. The adjustment will be communicated in text form (email suffices).

(3) In the event of any price increase compared to the Founding Price, the member has a special right of termination under § 5.

§ 4 Termination of the Founding Program (Sunset)

(1) The Provider is entitled to discontinue the Founding Member Program in its entirety. Discontinuation will be announced with 6 months' notice, but no earlier than the expiration of the minimum term of the last admitted member.

(2) If the program is discontinued before expiration of the individual minimum term, the Founding Price continues until the end of the minimum term.

(3) In the event of a change of control (acquisition of more than 50% of voting rights by a third party), the Provider may terminate the program with 6 months' notice. The minimum term guarantee under § 2 para. 3 remains unaffected.

§ 5 Special Right of Termination upon Price Change

(1) In the event of any price increase compared to the Founding Price, the member may terminate within 30 days of receiving the change notification, effective on the date the change takes effect.

(2) Upon exercise of the special right of termination, the Founding Price remains in effect until the termination becomes effective.

§ 6 Final Provisions

(1) These terms supplement the General Terms of Service. In the event of a conflict, the provisions of these terms shall take precedence for Founding Member-specific matters.

(2) Should individual provisions of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
