Terms of Service

§ 1 Scope
(1) These Terms of Service apply to all contracts between AfterCost – Firat Günenc (hereinafter "Provider") and the customer (hereinafter "User") regarding the use of the SaaS solution "AfterCost".
(2) AfterCost is a controlling and analytics software for sellers on the Kaufland Marketplace. It serves the analysis of sales data, profitability calculations, and business figures.
(3) Deviating terms of the User shall not become part of the contract.
(4) The Data Processing Agreement (DPA) is an integral part of this contract. End-customer data is neither collected nor stored.
(5) AfterCost is exclusively directed at entrepreneurs (§ 14 BGB, German Civil Code).
§ 2 Contract Formation and Registration
(1) The contract is formed upon registration on the platform.
(2) The User is obligated to provide truthful information.
(3) The User is responsible for the security of their login credentials.
§ 3 Service Description
(1) AfterCost offers the following core features: Automatic synchronization of order and product data via the Kaufland Seller API, profitability analyses (contribution margins I/II/III), management of purchase prices, shipping costs, and fees, as well as dashboard and reporting.
(2) The Provider reserves the right to further develop and adapt the software.
(3) Availability depends on the Kaufland Seller API and the cloud services used.
(4) The User has the right to data export at the end of the contract.
(5) The Provider is not liable for force majeure, third-party API outages, or cyberattacks.
§ 4 Prices and Payment Terms
(1) Usage is based on a subscription model.
(2) Billing occurs monthly in advance.
(3) Price adjustments will be announced with a 30-day notice period.
(4) All prices are exclusive of statutory value-added tax.
§ 5 Trial Period
(1) The User may test AfterCost free of charge and without obligation for 14 days.
(2) After the trial period expires, access is automatically deactivated.
(3) No automatic charges apply. A credit card is not required for the trial period.
§ 6 Contract Duration and Termination
(1) The contract is concluded for an indefinite period and renews monthly.
(2) The contract may be terminated at any time effective at the end of the current billing period.
(3) Termination may be effected via account settings or by email.
(4) Fees already paid are non-refundable.
§ 7 Account Deletion and Data Deletion
(1) Account deletion may be requested at any time via settings or by email to datenschutz@aftercost.de.
(2) Upon deletion, the account is immediately deactivated and the contract is automatically terminated.
(3) After deletion, there is a 14-day revocation period. Thereafter, deletion is irreversible.
(4) No pro-rata refund of fees already paid will be provided.
(5) All personal data and usage data will be comprehensively deleted.
(6) Statutory retention periods remain unaffected: invoice data 8 years (§ 14b UStG), commercial correspondence 6 years (§ 257 HGB), bookkeeping documents 10 years (§ 147 AO).
(7) Prior to deletion, the User has a right to data export pursuant to Art. 20 GDPR.
§ 8 Usage Rights and Obligations
(1) The User receives a simple, non-transferable right of use for the contract duration.
(2) The software may only be used as intended.
(3) Copying, decompiling, or reverse-engineering the software is prohibited.
§ 9 Warranty and Liability
(1) The Provider does not warrant the accuracy of data transmitted by Kaufland.
(2) Calculated metrics (contribution margins, margins, profitability) are provided without guarantee. The User is obligated to independently verify business-relevant decisions.
(3) AfterCost does not constitute a substitute for professional tax advice (§ 5 StBerG).
(4) Liability for slight negligence is excluded unless essential contractual obligations (cardinal obligations) are breached.
(5) Liability is limited in amount to the fees paid by the User in the last 12 months.
(6) Compensation for indirect damages and lost profits is excluded.
(7) The Provider assumes no liability for outages of the Kaufland Seller API or cloud services used.
§ 10 Data Protection
(1) Data processing is GDPR-compliant.
(2) Details are governed by the Privacy Policy. End-customer data is not collected or stored.
(3) The Data Processing Agreement (DPA) is available at aftercost.de/avv.
(4) Quality Assurance and Support: The Provider is entitled to view the User's dashboard in read-only mode for quality assurance, troubleshooting, and service improvement purposes. Only the business data displayed in the dashboard (revenues, costs, orders, returns, contribution margins) is viewed — changes to the User's data are technically excluded in this mode. The User's credentials (Kaufland API keys) are stored encrypted and are not displayed. Every access is documented in an immutable log. Details on processing are governed by the Privacy Policy (Section 17).
§ 11 Amendments to Terms
(1) Amendments to these Terms will be communicated to the User by email with a 30-day notice period.
(2) If the User does not object within 30 days of receiving the amendment notice, the amended Terms shall be deemed accepted.
§ 12 Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The place of jurisdiction is Nuremberg, provided the User is a merchant, a legal entity under public law, or a special fund under public law.
(3) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
